PUBLIC OFFER OF AGREEMENT
WITH USERS OF OFFICE LUNCH EXPRESS SERVICE.
Basic terms
• 1.1. Seller - a legal
entity or an individual entrepreneur, registered in accordance with the
legislation of Ukraine, who sells with the help of the Agent the Products specified
on the Office Lunch Express Service, subject to the terms of this agreement
(offer).
• 1.2. User – an
individual who has reached the age of 18, has full civil legal capacity and
legal capacity, who is a user of the Office Lunch Express Service or has placed
an order through the Office Lunch Express Service and concludes with the help
of the Office of Lunch Express the Contract of sale of the Seller's Products
and the Agreement on the provision of courier services by acceptance
(acceptance of the offer to conclude such agreements).
• 1.3. Agent – FLP
Petrenko O.D. (identification code 2733401598), who has the right on behalf and
at the expense of the Seller to place on the Service Office Lunch Express
offers of the Seller to conclude a Contract for the sale and purchase of the
Seller's Products and on behalf of the Courier to conclude an Agreement on the
provision of courier services.
• 1.4. Products – catering
products to be sold by the Seller under the terms of this agreement (offer).
• 1.5. Office Lunch Express
Service is a mobile application and/or website www.officelunchexpress.com.ua on
the Internet, which provides Users with ample opportunities to quickly and
easily search, order and deliver Products in real time via the Internet.
• 1.6. Order – a duly executed
and placed on the Office Lunch Express Service of the User's order for the
purchase of the Seller's Products.
• 1.7. Couriers –
self-employed couriers registered in the Office Lunch Express Service or
persons engaged in the delivery of Products.
2. Subject of agreement
• 2.1. This agreement is a
public offer (hereinafter referred to as the "Offer") of the Seller
represented by the Agent, to conclude a Contract for the sale of Products and
the Courier represented by the Agent, to conclude an Agreement on the provision
of courier services on the terms specified on the Office Lunch Express Service.
• 2.2. The User, by
registering on the Office Lunch Express Service, accepts this offer (offer),
unconditionally and unconditionally agrees with the terms of ordering, sale and
delivery of Products on the Office Lunch Express Service (hereinafter referred
to as the "Service") provided for by this Offer and the obligations
imposed on the User under this Offer and undertakes to comply with them.
• 2.3. Acceptance of the
Offer by the User may also be indicated by payment of the cost of the Products
and the cost of courier services in the manner specified on the Service. The
cost of courier services, as well as the actual cost of the Products (set by
its sellers), shall be determined at each Acceptance of the Offer for each
order separately on the basis of the established prices, which the Principal
shall be entitled to familiarize itself with on the Service.
• 2.4. The Agent is not
the Seller of the Products, including in the sense of the Law of Ukraine
"On Protection of Consumer Rights". Therefore, all claims regarding
the sale of Products, quality, quantity and other conditions of sale may be
made exclusively against the Seller of such Products.
• 2.5. The Agent does not
deliver the Products. Consequently, all claims of delivery of the Products may
be made exclusively to the Courier who was engaged in the delivery of such
Products.
• 2.6. The Agent is not a
person who accepts and / or transfers, and / or considers claims from Users
related to the Products and the organization of delivery of the Products, and
does not return money to Users for the Products and / or exchange of Products.
• 2.7. This Offer and
information about the Products presented on the Service is a public offer
within the meaning of Art. 633 and 641 of the Civil Code of Ukraine.
3. Registration on the
Service
• 3.1. In order to be able
to place orders and use the features of the Service, the User must register on
the Service (create an account). When filling out the registration form on the
Service, the User agrees with the terms of this Offer by confirming the item
"I accept the terms of the Agreement".
• 3.2. By filling out the
registration form, the User agrees to provide accurate and truthful information
about himself. If the User provides inaccurate information about himself, the
Agent will have the right to refuse the User to place and accept his order and
/ or deny such a person access to the Service and / or registration on the
Service.
• 3.3. The Agent provides
the User with the opportunity to create a single personal account (profile). If
the User creates more than one account, the Agent reserves the right to delete
other accounts created by the User and/or deny the User access to the Service.
• 3.4. It is allowed to
register on the Service individuals who have reached the age of 18, who have
full civil legal capacity and legal capacity. The User confirms that at the
time of registration he/she is at least 18 years old and has full civil legal
capacity and legal capacity.
• 3.5. After registration
is completed, the User is provided with a login and password to enter his
personal account.
• 3.6. The User is fully
responsible for the security of his login and password, as well as for all
actions that will be performed under his account on the Service.
• 3.7. If the Agent
suspects the User of committing illegal actions, including in: fraud with bank
cards, distribution of spam, malware, other acts violating the terms of this
Offer, the Agent has the right to apply to the relevant government agencies
with a statement and / or block and / or delete the User's account.
• 3.8. By registering on
the Service, the User grants the Agent the full right (permission) to process
his personal data for the purpose of concluding civil law agreements, providing
and / or transferring personal data to third parties in the manner and on the
grounds determined by the current legislation of Ukraine and internal documents
of the Agent, without the need to notify about such actions. In case of
changing the defined purpose of personal data processing, the User does not
object to the processing of his personal data, if such a need is determined by
the current legislation of Ukraine and / or internal documents of the Agent,
and also informs that he is familiar with the Law of Ukraine "On
Protection of Personal Data" of June 1, 2010. In addition, the User
confirms the fact of notification of the inclusion of his personal data in the
relevant personal database, the purpose of data collection and the persons to
whom his personal data is transferred.
• 3.9. The User, by
registering on the Service, agrees to receive regular mailings with up-to-date
information on the Seller's Products, promotions and bonus programs to his
e-mail and / or in the form of sms messages.The User confirms that the receipt
of information by the User to his e-mail and / or in the form of any sms
messages is not spam.The User has the right at any time to cancel the services
of regular mailings, by contacting the
Agent's Support Service by phone number or e-mail of the Agent specified on the
Service.The basis for termination of the User's access to the regular mailing
services is the User's application, drawn up in the form established by the
Agent, which the User fills out and sends to the Agent's e-mail. The term for
consideration of the User's application shall not exceed 5 (five) working days
from the date of receipt by the Agent of the application from the User.
4. Rights and obligations
of the Agent
• 4.1. Agent Responsibilities:
• 4.1.1. accept, process
orders, inform the User about changes in the order status, time and cost of
delivery;
• 4.1.2. not to post on
the Service any information that violates the rights of third parties to the
results of intellectual activity;
• 4.1.3. accept funds to pay for the Products;
• 4.1.4. accept funds to
pay for courier services;
• 4.2. Agent rights:
• 4.2.1. at its sole
discretion, change, supplement or delete any information published within the
Service, as well as video content and any elements and components of the
Service, suspend, restrict or terminate the User's access to all or any of the
sections of the Service at any time for any reason or without explanation,
including, but not limited to, in case of violation by the Users of this Offer
and / or the current legislation of Ukraine.
• 4.2.2. without special
notice to the User, change and/or supplement this Offer. Changes / additions
come into force from the moment they are posted (published) within the Service,
unless otherwise expressly specified by the Agent;
• 4.2.3. post comments to
User reviews;
• 4.2.4. conduct marketing activities,
including by sending up-to-date information about the Seller's Products,
promotions and bonus programs to the User's e-mail and / or in the form of SMS
messages;
• 4.2.5. involve any third parties in the
provision of services in accordance with these Rules, while maintaining full
responsibility to Users for the services provided through the Service.
• 4.2.6. in the presence
of reasonable doubts about the age and / or capacity of the User - cancel the
order of such User unilaterally. Confirmation of the User's age is carried out
by any of the documents provided for by the Law of Ukraine "On the Unified
Demographic Register" and documents confirming citizenship
